These Terms of Use ("Terms") govern your access to and use of IFTAfy (the "Service"), operated by WINYA SOFT LLC ("WINYA SOFT," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using IFTAfy, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you sign up or use the Service on behalf of a business (e.g., a trucking company), you represent and warrant that you are authorized to bind that entity, and "you" includes that entity.

2. Description of Service

IFTAfy provides tools intended to help users organize and manage data related to IFTA compliance, including, but not limited to:

• Mileage tracking for IFTA compliance
• Optional location-based features when you enable them (e.g., fleet visibility); not continuous background tracking for mileage
• Fuel entry logging and reporting
• Trip creation, management, and analytics
• Fleet & driver management
• Quarterly IFTA reporting assistance

No Filing / No Guarantee. IFTAfy does not file tax returns or IFTA reports on your behalf. You are solely responsible for verifying all information and submitting filings to your tax authority. We do not guarantee that reports, calculations, or outputs will meet your legal obligations.

Routing & Distance Estimates. IFTAfy calculates mileage using routing and mapping technologies designed for trucking use cases. Distances may differ from consumer mapping apps and may vary due to data sources, routing assumptions, road restrictions, GPS signals, and updates.

Service Availability. The Service is provided on an "as is" and "as available" basis without warranties of any kind. We do not guarantee uninterrupted access, uptime, or error-free operation.

3. Eligibility

• Be at least 18 years old
• Be legally capable of entering agreements
• Not be prohibited by law from using the Service

4. Account Registration & Security

You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password and credentials secure
• Not share your account credentials or allow unauthorized access

You are responsible for all activities that occur under your account.

5. Account Roles

Users may access the Service under different roles (e.g., independent driver, company driver, or company administrator). Access to features and billing responsibilities may vary depending on the role assigned.

6. Subscription, Billing, Trials, and Cancellation

By subscribing, you authorize WINYA SOFT LLC (and our payment processors) to charge your payment method on a recurring basis unless cancelled.

• Billing. Subscriptions are billed in advance on a recurring cycle (e.g., monthly or annually), depending on your plan.
• Auto-Renewal. Your subscription automatically renews unless you cancel before the renewal date.
• Cancellation. You may cancel at any time. Unless otherwise stated at purchase, cancellation stops future renewals and your access remains active until the end of the current billing period.
• Fees / Refunds. Fees are non-refundable and no prorated refunds are provided, except where required by law.
• Trials. If a trial is offered, it may convert to a paid subscription at the end of the trial unless cancelled before trial expiration. Trial terms may vary and will be presented at sign-up.

Apple App Store (iOS). If you purchase an auto-renewable subscription in the IFTAfy iOS app, payment is processed by Apple as the authorized reseller. Your purchase is subject to Apple's applicable terms. Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period in your Apple ID account settings. Pricing is shown in the app before purchase and may vary by region.

7. Acceptable Use

You agree not to (and not to attempt to):

• Reverse-engineer, decompile, or copy the Service
• Use the Service for unlawful purposes
• Interfere with servers, performance, security, or APIs
• Access or attempt to access accounts or data without authorization
• Circumvent usage limits, security controls, or restrictions

We may investigate and take action (including suspension) for violations.

8. GPS Location Tracking & Employee Consent

Location data is collected only when explicitly enabled by the user and when the app is in active use for permitted features. IFTAfy does not rely on continuous background tracking for mileage calculation; mileage is based primarily on trip and routing information you provide, consistent with our Privacy Policy.

Where location features apply, processing may include, for example:

• Driver and/or vehicle location during active use
• Route-related information tied to enabled features
• Jurisdictional segmentation supported by the Service

Company Responsibility. Companies are responsible for obtaining employee/driver consent where required by law and for complying with all applicable workplace, privacy, and tracking laws.

9. Data & Privacy

Your use of IFTAfy is governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of information as described in that policy.

10. No Tax, Legal, or Accounting Advice

IFTAfy is an automation and recordkeeping tool. The Service does not provide tax, legal, or accounting advice and does not replace a qualified professional. You are responsible for verifying all data, calculations, and filings.

11. Third-Party Services

The Service may rely on third-party services (including mapping, GPS, cloud infrastructure, and payment processors). WINYA SOFT LLC is not responsible for outages, inaccuracies, interruptions, or failures caused by third-party systems or providers.

12. Limitation of Liability

To the maximum extent allowed by law, WINYA SOFT LLC is not responsible for:

• Incorrect data entered by users
• GPS inaccuracies or location interruptions
• Routing/mileage estimation differences or discrepancies
• Tax calculation discrepancies, penalties, interest, or audits
• Loss of revenue, profits, business opportunities, or goodwill
• Indirect, incidental, special, consequential, or punitive damages

Liability Cap. Our total liability for any claim arising out of or relating to the Service will not exceed the total fees paid by you to WINYA SOFT LLC for the Service during the 12 months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases, liability will be limited to the maximum extent permitted.

13. Indemnification

You agree to indemnify, defend, and hold harmless WINYA SOFT LLC and its owners, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of applicable laws (including consent and privacy laws)
• Your content, data, or submissions to the Service

14. Termination & Data Retention

We may suspend or terminate your access if:

• You violate these Terms
• Your subscription lapses or payment fails
• Illegal, abusive, or harmful activity is detected

Upon termination or cancellation, your access to the Service may end. We may retain or delete your data in accordance with our data retention practices and applicable law. You are responsible for exporting your data before termination/cancellation where applicable.

15. Intellectual Property

All software, trademarks, designs, and content associated with the Service are owned by WINYA SOFT LLC or its licensors. You may not reproduce, modify, distribute, or create derivative works from any portion of the Service without our written permission, except as expressly permitted by these Terms.

16. Modifications to the Terms

We may update these Terms at any time. We will post the updated Terms and revise the Effective Date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

17. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

You and WINYA SOFT LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, and not in a class, consolidated, or representative action.

Either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property misuse, unauthorized access, or similar urgent relief.

Class Action Waiver. You agree not to bring or participate in any class action, private attorney general action, or class arbitration against WINYA SOFT LLC. (If arbitration is not enforceable in your jurisdiction, disputes will be resolved in the courts specified in Section 18.)

18. Governing Law; Venue

These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration, you agree to exclusive venue and jurisdiction in state or federal courts located in Oregon.
